Property Purchase Terms of Service

1Introduction

These Terms of Service explain how SellFast Group provides its property purchase service.

SellFast Group purchases residential property directly from homeowners.

These Terms of Service apply when you contact us regarding the potential sale of your property or engage with us during the property assessment process.

These Terms of Service explain our service and do not constitute a contract for the purchase or sale of any property.

Any property transaction will only become legally binding when the appropriate legal agreements have been entered into.

2Our Property Purchase Service

SellFast Group considers purchasing residential properties directly from homeowners.

If you contact us, we may assess whether a property meets our purchasing criteria.

Our assessment process may involve reviewing information about:

  • the property;
  • ownership;
  • condition;
  • circumstances surrounding the proposed sale;
  • matters affecting the potential transaction.

Submitting information or contacting us does not guarantee that we will proceed, make an offer, or purchase the property.

3Property Information

To assess a potential purchase, we may require information including:

  • property details;
  • ownership information;
  • mortgage or secured lending information;
  • details of occupants or tenancy arrangements where relevant;
  • information about the condition of the property;
  • information about any issues affecting the property.

You should provide information that is accurate and complete to the best of your knowledge.

If information provided is inaccurate, incomplete or changes significantly, this may affect any assessment or offer.

4Property Assessment

Each property is assessed individually.

Our assessment may consider factors including:

  • property condition;
  • location;
  • market conditions;
  • information provided;
  • legal matters affecting the property;
  • whether the property is suitable for our purchasing criteria.

Any discussions, indications of interest or initial assessments do not create an obligation for SellFast Group to proceed.

5Offers

Where we decide that a property may be suitable, we may provide an offer.

Only offers confirmed in writing (including by email) are valid and binding on SellFast Group. Any verbal discussions, estimates or indications are non-binding and should not be relied upon.

Any offer made by SellFast Group is subject to:

  • the information provided being accurate and complete;
  • satisfactory checks being completed;
  • any relevant legal matters being identified;
  • agreement of the necessary legal documentation.

An offer may be amended or withdrawn where circumstances change or where significant issues are identified. If an offer is amended or reduced from an earlier estimate or indication, we will explain the reasons for this in writing before you are asked to agree to the revised figure.

Where a written offer, communication or document contains an obvious clerical, typographical or numerical error (for example, an incorrect figure or transposed digit), we reserve the right to correct that error once identified, and the corrected figure or term will apply. We will notify you promptly if such an error is identified and corrected. This does not affect our right to withdraw or amend an offer as set out above.

6Your Right to Withdraw

You may withdraw from a proposed sale at any stage before exchange of contracts, without penalty.

We would appreciate you letting us know as soon as possible if you decide not to proceed, so that we can close off the enquiry.

Once contracts have been exchanged, the transaction becomes legally binding and is governed by the terms of the formal contract entered into between the parties.

Where you withdraw before exchange, this will not affect any right to make a future enquiry with us.

7Due Diligence and Withdrawal

Before completing a purchase, SellFast Group may carry out appropriate checks relating to the property.

This may include reviewing matters such as:

  • ownership and title information;
  • property condition;
  • information provided during the assessment process;
  • matters that may affect the purchase.

If significant issues are identified, we reserve the right to reconsider, amend or withdraw an offer.

8No Guarantee of Offer or Purchase

While we aim to review enquiries and progress suitable opportunities, we cannot guarantee that:

  • every enquiry will result in an assessment;
  • every property will be suitable for purchase;
  • any offer made will remain available;
  • any purchase will complete.

A decision not to proceed may be made at any stage before legally binding agreements are entered into.

9Timescales

We aim to progress suitable property purchases efficiently.

However, any timescales provided are estimates only and are not guarantees.

Timescales may be affected by matters including:

  • legal processes;
  • availability of information;
  • property issues;
  • actions of third parties;
  • circumstances outside our reasonable control.

No specific date for offer, exchange, completion or any other stage of the process is guaranteed, whether given verbally or in writing. Any date mentioned at any stage is an estimate only and may change due to matters outside our control or the control of any party involved in the transaction. Only dates confirmed within a formal, legally binding contract (entered into with the benefit of legal advice) carry contractual effect.

10Seller Responsibilities

Sellers should provide information that is accurate and complete to the best of their knowledge.

Sellers should inform SellFast Group of any known matters that may affect the property or potential transaction.

Failure to provide relevant information may affect our assessment or any offer made.

11No Obligation to Proceed

Submitting an enquiry, providing property information, receiving an assessment or discussing a potential purchase does not create any obligation on SellFast Group to make an offer or proceed with a transaction.

SellFast Group reserves the right to decide whether to proceed with any enquiry, assessment, offer or purchase.

We are not required to provide a reason where we decide not to proceed, although we may provide feedback at our discretion.

No property purchase will become binding unless and until the appropriate legal agreements have been entered into.

12Independent Advice

Selling a property is an important financial decision.

We recommend that sellers obtain independent professional advice where appropriate, including legal advice before entering into any binding agreement.

13Limitation of Liability

SellFast Group will take reasonable care in providing information about our services and handling enquiries.

However, due to the nature of our business and the number of factors that may affect a potential property purchase, we cannot guarantee that every enquiry will result in an assessment, offer or purchase.

To the fullest extent permitted by law, SellFast Group shall not be liable for any loss, damage, cost or expense arising from:

  • reliance on information provided on our website or through our service;
  • an enquiry not progressing to an assessment, offer or purchase;
  • our decision not to make an offer or proceed with a property;
  • delays, interruptions or failures in communication;
  • emails, messages or other correspondence not being received, read or responded to;
  • technical failures affecting our website, email systems, communication systems or service providers;
  • circumstances where we are unable to respond or progress an enquiry due to illness, absence, unforeseen circumstances or events outside our reasonable control;
  • incomplete, inaccurate or unavailable information provided by sellers;
  • decisions made by sellers or third parties;
  • anticipated sales, completion dates or financial outcomes not occurring.

Where a potential purchase does not proceed, SellFast Group will not be responsible for consequential loss, including:

  • loss of opportunity;
  • financial loss;
  • costs incurred by a seller;
  • reliance on expected timescales or outcomes.

Submitting an enquiry or communicating with SellFast Group does not create a contractual relationship requiring us to make an offer or complete a purchase.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

14Entire Agreement and Precedence

These Terms of Service apply to your engagement with our property purchase service but do not replace any formal legal agreement entered into during a property transaction.

Where a formal written contract is entered into in relation to a property transaction, that contract will take precedence over these Terms of Service to the extent of any inconsistency.

Where there is any inconsistency between these Terms of Service and our Website Terms & Conditions in relation to a property enquiry or purchase, these Terms of Service will take precedence as the more specific document.

15No Waiver

Failure by SellFast Group to exercise or enforce any right under these Terms shall not constitute a waiver of that right.

16Changes to Our Service

We may update or change aspects of our service where necessary.

Any changes will not affect rights established under any legally binding agreement already entered into.

17Governing Law

These Terms of Service are governed by the laws of England and Wales.

Any disputes relating to these Terms will be subject to the jurisdiction of the courts of England and Wales.
